The commercial or business law is the branch of law that governs the business, commerce and consumer transaction. The commercial law is patternize in that manner that it covers broad area of business. The commercial law is one that deals with various issues of law such as contract, banking, bankrupcy, credit transactions, secured transactions and real estate. The basic purpose of the commercial law is to cover those areas where the business deal is at risk particularly in some cases such as partnerships, corporations, agencies and franchises. Beside this when international trading is the part of any deal whether we are doing small or big business we need commercial law.

In commercial law the uniform commercial code is adopted by every state because it maintains the uniformity in every state. It was difficult for the businessman to do the business with other state as every state has got different commercial law. Due to this uniform commercial code has set law for business and the uniform commercial code is divided into thirteen articles. The uniform commercial code has set the law related to the transaction that is adopted by every state. It covers vast area related to the transaction in which borrowing or contract and other business deals that take place in the world of business. In business contract for sale, lease, distribution of goods is under the state law but states have adopted the uniform commercial code for these fields. The reason of adoption of uniform commercial code is because it provides rules for sale contract formation, modification, performance and remedies. Beside this uniform commercial code also define sale warranties that are important for the parties as they are involved in sales. The uniform commercial code sale warranties are warranty of title, implied warranty of merchantability, implied warranty of fitness for particular purpose and express warranties.            

When we are related with commercial work we face lots of difficulties particularly if you are new beginner. Certain issues need to be settled down as it might be about contract, partnership or transaction it need legal binding. For legal binding you need to hire a lawyer who can prepare your drafts or contract and indicates where you need to be careful in that way you will be safe from any big loss. In the world of business, secured transaction and negotiable instruments are two important components of commercial law. The secured transaction is needed when one party wants to borrow money from bank, individual and from any other lending institution. In such case the lender doesn’t only fulfill the promise for repayment but they also need to put any property as security of loan toward the borrowers.
